End User Licence Agreement — pre-launch draft.

1. Parties and software
This draft applies to ClearView Pro, currently published by Sajid Ali Khan trading as Aghavion. If Aghavion Software Limited is incorporated before commercial launch, the final agreement may identify that company as the licensor.
2. Licence grant
Subject to the purchased edition, entitlement limits and these terms, the user would receive a limited, non-exclusive, non-transferable right to install and use ClearView Pro for lawful internal professional or business purposes on authorised devices.
3. Restrictions
The user must not unlawfully copy, resell, sublicense, rent, distribute, defeat licence controls, use the software to violate another person's rights, or reverse engineer the software except to the extent such restriction is prohibited by applicable law.
4. Ownership
The software is licensed, not sold. Aghavion and its licensors retain intellectual-property rights in ClearView Pro, while users retain ownership and responsibility for the accounting records and other data they import or create.
5. Client data and licence state
ClearView Pro is designed as an offline-first desktop application. The current commercial architecture keeps licence/entitlement state separate from client records. Licence expiry, replacement or validation is not intended to delete, encrypt or confiscate client records or backups.
6. User responsibility
Users are responsible for source-data accuracy, account mapping, professional review of outputs, backups, device security and compliance with obligations owed to their own clients. See the Data & Backup Responsibility Statement and Professional-use Disclaimer.
7. Updates and compatibility
Aghavion may provide updates, fixes or revised builds. Operating-system, third-party accounting-platform and file-format changes can affect compatibility. Final commercial terms will state any update entitlement included with each edition.
8. Support
Support is provided according to the published Support Policy for the applicable edition. Pre-launch support does not create a guaranteed service level unless Aghavion expressly agrees one in writing.
9. Warranties and professional outputs
The software is a professional reporting and analysis tool, not an audit opinion or substitute for professional judgement. To the fullest extent permitted by law, no warranty is given that every imported file, classification, forecast or report will be error-free or appropriate for every engagement.
10. Liability
The final commercial agreement will define liability limits appropriate to the selected licence and customer type. Nothing in the final terms will exclude liability that cannot lawfully be excluded or restrict mandatory statutory rights.
11. Termination
The final agreement will describe circumstances in which a licence may end, including material breach or expiry of a time-limited entitlement. Data-protection principles in section 5 are intended to continue to apply to local client records.
12. Governing law
The intended governing law is England and Wales, subject to mandatory rights and jurisdiction rules that apply to the customer.
